(NYSE: FG) ("F&G") today announced that it priced a public offering of 8,000,000 shares of its common stock at a price to the public of $35.00 per share. In connection with the offering, F&G has granted the underwriters a 30-day option to purchase up to an additional 1,200,000 shares of F&G's common stock. Fidelity National Financial, Inc., F&G's majority-stockholder, has agreed to purchase 4,500,000 shares in the offering from the underwriters at the price per share paid by the underwriters of $33.60 per share. The offering is expected to close on March 24, 2025, subject to satisfaction of customary closing conditions. F&G intends to use the net proceeds of this offering for general corporate purposes, including the support of organic growth opportunities. BofA Securities, Inc. and J.P. Morgan Securities LLC are acting as joint book-running managers for the offering.
