Mineral Resources Limited (ASX:MIN) has announced the appointment of Lawrie Tremaine and Ross Carroll as Independent Non-Executive Directors to its Board, effective 7 July 2025. The appointments underscore the company's commitment to Board renewal and enhanced governance.

Together, Mr Tremaine and Mr Carroll bring deep industry experience and strategic insight from leading roles in mining, energy, and financial operations across a range of ASX-listed companies.

Lawrie Tremaine Joins with Finance and Energy Sector Expertise

Mr Tremaine is a highly experienced finance executive with over 35 years of leadership in the mining, mineral processing, manufacturing, and energy sectors. He most recently served as Chief Financial Officer (CFO) of Origin Energy for seven years, where he played a key role in improving the company’s financial position and capital structure. Prior to that, he was CFO at Woodside Energy and held senior roles at Alcoa, where he built finance operations across the Asia-Pacific region.

Mr Tremaine will now serve as:

  • Chair of the Audit and Risk Committee

  • Chair of the Sustainability Committee

  • Member of the Ethics and Governance Committee

He also currently chairs MoneyCatcha, a private fintech company.

Ross Carroll Brings Global Mining and M&A Experience

Mr Carroll brings more than 25 years of leadership experience, having served as CEO and CFO across several mining and energy companies. He was most recently CEO of Commerce Resources, a Toronto-listed junior miner, and previously held CFO roles at MMG Limited and Woodside Energy. His career includes 18 years at BHP, where he held senior positions in finance and business development.

At MMG, Mr Carroll played a key role in acquiring the USD 1.9 billion Khoemacau copper mine in Botswana. He also led operational improvements and balance sheet management across the organisation.

He will take up the roles of:

  • Chair of the Ethics and Governance Committee

  • Member of the Audit and Risk Committee

  • Member of the Technical Committee

Committee Restructuring

With these appointments, the Ethics and Governance Committee now comprises:

  • Ross Carroll (Chair)

  • Malcolm Bundey (Board Chair)

  • Lawrie Tremaine

  • Justin Langer

The Audit and Risk Committee now includes:

  • Lawrie Tremaine (Chair)

  • Xi Xi

  • Ross Carroll

  • Malcolm Bundey

As part of the reshuffle, Xi Xi stepped down as Chair of the Audit and Risk Committee and Colleen Hayward exited the committee, although she remains active on the Remuneration and People Committee and the Sustainability Committee.

Following the update, MIN share price dropped by nearly 1.68% to AUD 24.54 per share.
